All content, features, and functionality of the Quasar IEM platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Quasar International Group and its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Quasar name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Quasar International Group or its affiliates or licensors. You must not use such marks without our prior written permission.

3. License to Use Services

Subject to your compliance with these terms, Quasar International Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes in accordance with your subscription plan.

This license does not include any right to:

• Resell or sublicense the Services
• Use the Services for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble the Services
• Remove any proprietary notices or labels
• Interfere with or disrupt the Services or servers

4. User Content and Data

You retain all ownership rights to the data, content, and information you upload, input, or otherwise provide to our Services ("User Content"). By using our Services, you grant Quasar International Group a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving our Services.

You are solely responsible for your User Content and warrant that you have all necessary rights, licenses, and permissions to use and authorize us to use your User Content as contemplated by these terms.

5. Prohibited Uses

You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our consent
• To impersonate or attempt to impersonate Quasar International Group, a Quasar employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Quasar International Group does not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUASAR INTERNATIONAL GROUP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Quasar International Group, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms or your use of the Services.

9. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida, USA.

However, for users in the European Union, certain mandatory consumer protection laws of your country of residence may apply, and you may have additional rights that cannot be excluded or limited.

Quasar International Group operates in compliance with applicable laws and regulations worldwide, including:

11. Export Control

The Services may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control, and any other applicable laws.

12. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.

13. Entire Agreement

These terms, together with our Privacy Policy, Terms of Service, and any other legal notices published by us on the Services, shall constitute the entire agreement between you and Quasar International Group concerning the Services.
