1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Quasar Integrated Enterprise Management (IEM) and Quasar International Group ("Quasar," "we," "our," or "us") governing your access to and use of our Services, including our website, software applications, platforms, and related services (collectively, the "Services").

By accessing, downloading, installing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. If you are accessing or using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Quasar IEM provides an integrated enterprise management platform that includes, but is not limited to:

• Enterprise resource planning (ERP) functionality
• Financial management and accounting tools
• Human resources and payroll management
• Customer relationship management (CRM)
• Supply chain and inventory management
• Business intelligence and analytics
• AI-powered insights and automation
• Integration with third-party services and applications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration and Security

To access certain features of the Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.2 Payment

You agree to pay all fees associated with your subscription. Fees are charged in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to your next billing cycle.

4.4 Taxes

You are responsible for all taxes, duties, and governmental charges associated with your use of the Services, except for taxes based on our income.

5. Use License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You agree NOT to:

• Copy, modify, distribute, sell, or lease any part of the Services
• Reverse engineer or attempt to extract the source code of the Services
• Use the Services to violate any law, regulation, or third-party right
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services to transmit any viruses, malware, or harmful code
• Use automated systems to access the Services without our permission
• Remove any proprietary notices or labels from the Services

6. User Content and Data

You retain all ownership rights to the data, content, and information you upload, input, or otherwise provide to the Services ("User Content"). You are solely responsible for your User Content and warrant that you have all necessary rights and permissions to use and authorize us to use your User Content.

By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Services.

We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

7. Intellectual Property

The Services, including all content, features, functionality, software, and technology, are owned by Quasar International Group and its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Quasar name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Quasar International Group or its affiliates. You must not use such marks without our prior written permission.

8. Service Availability and Modifications

We strive to provide reliable Services but do not guarantee that the Services will be available at all times or free from errors, defects, or interruptions. We may perform scheduled or unscheduled maintenance, which may result in temporary unavailability.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

9. Termination

9.1 Termination by You

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your access to the Services will terminate at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account and access to the Services immediately, without prior notice, if you breach these Terms or engage in any fraudulent, illegal, or harmful activity.

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive.

10. Data Export and Deletion

You may export your data at any time through the Services. Upon termination of your account, you will have 30 days to export your data. After this period, we may delete your data in accordance with our data retention policies and applicable law.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or the results of the use of the Services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUASAR INTERNATIONAL GROUP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

Our total liability to you for all claims arising out of or relating to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Quasar International Group, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

For users in the European Union, you may have additional rights under the laws of your country of residence, and certain provisions may not apply to you.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Services and cancel your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
